Terms of Service

BY ACCESSING, BROWSING, OR USING SNEAKPEACH, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE ("TERMS") AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.

These Terms constitute a legally binding agreement between you and SneakPeach B.V. ("SneakPeach," "we," "us," or "our"). We may modify these Terms at any time without notice. Your continued use of our services constitutes acceptance of any modifications.

You represent and warrant that you:

• Are at least 18 years old and have the legal capacity to enter into binding contracts
• Will provide accurate, complete, and current information during registration
• Will maintain and promptly update your account information
• Are solely responsible for all activity under your account
• Will not create multiple accounts or share account access
• Have not been previously banned from our services

We reserve the right to refuse, suspend, or terminate any account at our sole discretion without notice or liability.

By uploading Content to our platform, you grant SneakPeach and its affiliates a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to:

• Use, reproduce, distribute, prepare derivative works of, display, and perform your Content
• Promote, advertise, and market our services using your Content
• Store, archive, and maintain copies of your Content for platform operation
• Moderate, remove, or restrict access to your Content at our sole discretion

This license survives termination of your account for purposes of our continued business operations. You retain ownership of your Content but acknowledge our broad usage rights necessary for platform functionality.

You agree not to upload, post, or transmit any Content or engage in conduct that:

Violations may result in immediate account termination, content removal, legal action, and cooperation with law enforcement. We have zero tolerance for illegal content.

You represent, warrant, and covenant that:

• All information provided is accurate and will be kept current
• You own or have necessary rights to all Content you upload
• Your Content does not violate any laws or third-party rights
• You will comply with all applicable laws and regulations
• You have obtained all necessary permissions for depicted individuals
• You will maintain appropriate records as required by law
• You are not subject to any legal restrictions that would prohibit your use of our services

SneakPeach reserves the absolute right to:

• Remove, modify, or restrict access to any Content without notice
• Suspend or terminate accounts with or without cause
• Modify, suspend, or discontinue services at any time
• Set and modify fees, commissions, and payment terms
• Implement automated and manual content review systems
• Cooperate with law enforcement and legal requests
• Disclose user information as required by law or our discretion

We are not obligated to monitor Content but may do so. We do not endorse or guarantee the accuracy of any user-generated Content.

You agree to defend, indemnify, and hold harmless SneakPeach, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your use of our services or Content
• Your violation of these Terms or applicable laws
• Your infringement of any third-party rights
• Any Content you upload or actions you take
• Any disputes with other users
• Any claims arising from your business activities

This indemnification obligation survives termination of your account and these Terms.

LIMITATION OF LIABILITY: To the maximum extent permitted by law, SneakPeach's total liability for any claims arising out of these Terms or your use of our services shall not exceed the greater of:

• €100 (one hundred euros) for consumers
• €1,000 (one thousand euros) for business users
• The total amount paid by you to us in the 12 months preceding the claim

EXCLUDED DAMAGES: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

We may terminate or suspend your account immediately, without prior notice, for any reason, including but not limited to:

• Violation of these Terms
• Illegal activity or content
• Fraudulent or unauthorized transactions
• Excessive chargebacks or payment disputes
• Threat to platform security or integrity
• Business or legal reasons

Upon termination, your access ends immediately. We are not liable for any losses resulting from termination. Outstanding financial obligations survive termination.

MANDATORY DISPUTE RESOLUTION: Before filing any lawsuit, you agree to attempt resolution through mediation. Any disputes shall be resolved as follows:

• Governing Law: Dutch law governs these Terms
• Jurisdiction: Courts of Amsterdam, Netherlands have exclusive jurisdiction
• Mediation Required: 60-day mediation period before litigation
• Time Limit: Claims must be filed within one year of accrual
• No Class Actions: All disputes must be resolved individually

• Entire Agreement: These Terms constitute the complete agreement between parties
• Severability: Invalid provisions do not affect enforceability of remaining Terms
• Assignment: We may assign these Terms; you may not without our consent
• Waiver: Our failure to enforce any provision does not constitute a waiver
• Survival: Provisions requiring performance after termination shall survive
